COLUMBUS, Ohio -- The owner of Arby's said today it is buying Wendy's International Inc. in an all-stock deal worth $2.34 billion that comes after the burger chain's board rejected at least two earlier offers by the company.
Triarc Companies Inc., which is owned by billionaire investor Nelson Peltz, will pay about $26.78 per share for the company, which has about 87 million shares outstanding. The price is a premium of 6% from the company's closing price of $25.32 Wednesday.
Pam Thomas Farber, 53, daughter of Wendy's founder Dave Thomas, said the family was devastated by the news.
"It's a very sad day for Wendy's, and our family. We just didn't think this would be the outcome," she said.
If her father were alive to hear news of the buyout, "he would not be amused," Farber said.

On one hand I feel that Wendy's needs an overhaul, but on the other I don't think that Arby's is the company to do it, I can't remember the last time I had something at Arby's that was good.
I used to love Wendy's, they pioneered the concept of putting a real chicken fillet in a sandwich, instead of the chopped and formed crap that everyone else was serving, and it was good, the chicken that they use now is not nearly as good as it once was, and the prices have gone up. Their menu has gotten very boring, they need to go back and fix the basics and introduce some exciting new menu items.
Chick-fil-a seems to be the only place where you can get a chicken sandwich that hasn't been over processed.
I find it a bit funny that Dave's daughters nae wasn't Wendy... it always kinda seemed like the chain was named for his daughter... the cute little red-headed girl.
I agree Arbys probably ISN'T the company to change it... they have some good stuff, but they aren't the 3rd national leading chain and thats a fact.
Pizza Hut, KFC, Taco Bell are all owned by Pepsico, McDonald's owns Chipotle, so even if Arby's purchases Wendy's, it doesn't mean they will make it the same.
In today's market, it isn't unheard of for company's to expand their acquisitions to include many different venues. This could be a great thing for Wendy's and Arby's.
